General Terms and Conditions (GTC)

1 Scope and Customer Information

(1) These General Terms and Conditions (GTC) govern the contractual relationship between Uenlue GbR (hereinafter also referred to as “Une Foods”) and consumers who purchase goods via our online shop www.unefoods.de or www.unefoods.com.

(2) These GTC apply to all orders placed by consumers within the meaning of Section 13 of the German Civil Code (BGB) via our online shop. A consumer is any natural person who concludes a legal transaction for purposes that are predominantly neither commercial nor self-employed.

(3) Contract language: The contract language is German. All legally binding content such as the terms and conditions, the right of withdrawal and mandatory information is based on the German version. For international customers we provide translations in English, Spanish and Portuguese to support understanding. In the event of any deviations, uncertainties or inconsistencies between the German version and a translated version, the German version shall prevail.

2 Conclusion of Contract

(1) The products displayed in the online shop do not constitute a binding offer but rather a non-binding invitation to the customer to place an order.

(2) You can place one or more products in the shopping cart. During the ordering process, you will enter your details and select your preferences regarding payment method, delivery options, and other settings. By clicking the order button, you are submitting a binding offer to conclude a purchase contract.

(3) We are entitled to accept your offer within two business days by sending you an order confirmation via email. If we do not accept your offer within this period, your offer is considered declined, and you are no longer bound by it.

3 Customer Information: Storage of Contract Text

(1) Your order, including details of the concluded contract (e.g., ordered products, prices), is stored by us.

(2) The GTC will be sent to you via order confirmation email. You can also access them at any time after the contract has been concluded via our website.

(3) If you are a registered customer, you can view your past orders at any time through the customer login area on our website www.unefoods.de or www.unefoods.com.

4 Customer Information: Order Correction, Delivery, Transfer of Risk, and Shipping

(1) Review & Correct Order:
You can correct your entries at any time before placing your order using the delete key. You may also cancel the ordering process at any time by closing the browser window.

(2) Prices & Shipping Costs:
All prices include statutory VAT, but exclude shipping costs.

  • For deliveries within Germany, the shipping cost is € 5,45, including a service fee.
  • For deliveries to other EU countries, Switzerland, and the United Kingdom (UK), different shipping costs apply. The current shipping rates can be found at any time on our website.
  • For orders outside Germany, additional customs duties, taxes, and import fees may apply. These costs must be covered by the customer and will not be reimbursed by Une Foods.

(3) Delivery & Acceptance:
The customer agrees that the delivery may also be handed over to another authorized recipient, provided that the circumstances suggest they are entitled to accept the shipment. This includes:

  • Individuals present at the recipient’s premises,
  • The recipient’s relatives,
  • Household members or neighbors.

(4) Transfer of Risk:

  • If the customer is a consumer, Une Foods bears the shipping risk, regardless of the shipping method.
  • If the customer is a business, the risk of accidental loss or deterioration of the goods transfers to the customer upon handover to the shipping company.

(5) Notice regarding bundle offers
For discounted bundle offers, the reduced price applies exclusively to the complete bundle. If the customer returns only part of the bundle as part of the withdrawal or a return, the original order value is recalculated.
The retained products are charged at their regular individual price. The refund amount corresponds to the difference between the paid bundle price and the total regular price of the retained products.
A full return of the entire bundle results in a refund of the full bundle price in accordance with our withdrawal conditions.

(6) Complaints in Case of Verified Delivery

Proof of Packing and Documentation Requirements
UNE Foods documents the packing process of all orders through photographic recordings (Proof of Packing). These serve as evidence that the ordered goods were correctly assembled and packaged.

Review of Complaints
If a customer claims missing or undelivered products although the carrier confirms delivery, UNE Foods is entitled to review the following documentation:

• Photographic documentation of the packing process
• Delivery confirmation and tracking information from the carrier
• Weight documentation of the shipment
• Confirmation from the carrier regarding the completeness of the shipment

Liability
If the review shows that the shipment was properly packed and fully delivered, UNE Foods assumes no responsibility for any subsequent loss or damage.

Statutory Rights
The customer’s statutory warranty rights remain unaffected. Claims for proven transport damage continue to apply.

Recommendation upon Receipt of the Parcel
Where justified doubts about the completeness of a shipment exist, UNE Foods recommends opening the parcel in the presence of the delivery agent and documenting any defects immediately.

Delivery to Parcel Stations and Subsequent Address Changes
If delivery to a parcel station is carried out at the customer’s request, or if the customer independently changes the delivery address or redirects the shipment after dispatch through the carrier, the risk of loss or damage transfers to the customer from the moment of redirection.
UNE Foods is not liable for missing or damaged goods in these cases, provided that the shipment was demonstrably packed correctly and the carrier confirms delivery.

(7) Availability and delivery times

(1) All products offered are subject to availability.

(2) The estimated delivery time within Germany is two to five working days after receipt of payment. Delivery times may vary for international shipments.

(3) If a product ordered is not available, we will inform the customer promptly by email. In such cases we will offer a suitable alternative or refund the purchase price in full.

(4) In the event of obvious pricing errors in our online shop, we are not bound by the incorrect price information and may rescind the contract. Any payments already made will be refunded in full.

5 Retention of Title

(1) The delivered goods remain the property of Une Foods until full payment of the purchase price has been made.

(2) As long as the retention of title is in effect, the customer may not pledge, resell, or otherwise dispose of the goods without the express written consent of Une Foods.

6 Statutory Warranty Rights

(1) All goods are subject to the statutory warranty rights under the provisions of the German Civil Code. For food products, liability applies only to defects that already existed at the time of delivery.

(2) The durability of the products is indicated by the best before date on the packaging. Claims for quality defects cannot be made if the product is used or consumed after this date.

(3) The warranty does not cover natural changes that may occur within the durability period, nor any impairment of quality resulting from improper storage or handling by the customer.

(4) If a product is damaged or defective upon receipt, the customer may submit a complaint within fourteen days. To process the claim, Une Foods generally requires additional information, in particular photos of the product and the shipping packaging.

(5) Storage instructions:

(a) Products should be stored in a dry, cool and light protected place unless otherwise stated on the packaging.

(b) The best before date indicates the period during which the product retains its specific properties when stored properly. After this date, no claims for quality defects can be made.

(c) Loss of quality caused by moisture, direct sunlight or extreme temperatures does not constitute a warranty claim.

7 Limitation of Liability

(1) Une Foods is only liable for intent and gross negligence. Liability for slightly negligent breaches of duty is excluded unless:

  • essential contractual obligations are affected,
  • damages result from injury to life, body, or health,
  • warranties are breached, or
  • claims under the Product Liability Act (ProdHaftG) apply.

(2) This limitation of liability also applies to legal representatives and vicarious agents of Une Foods.

8 Payment terms

(1) The purchase price becomes due upon conclusion of the contract and is payable immediately without deduction.

(2) The available payment methods include PayPal, including direct debit and credit card, as well as Klarna. The payment options available in each individual case are displayed during the ordering process.

(3) If the customer is in default of payment, we are entitled to charge default interest at a rate of five percentage points above the base interest rate. The right to claim further damages caused by delay remains unaffected.

(4) When using payment service providers such as PayPal or Klarna, their respective terms and conditions apply in addition.

(5) Set off against claims of the customer as well as the exercise of a right of retention are only permitted if such claims are legally established or undisputed.

(6) Invoicing and Sustainability: For reasons of sustainability and environmental protection, UNE Foods issues invoices exclusively in electronic form by email. No printed invoices are enclosed with the shipment of goods.

The electronic invoice is legally equivalent to a paper invoice and fulfils all statutory requirements in accordance with Section 14 of the German Value Added Tax Act (UStG). The customer receives the invoice promptly after dispatch of the goods to the email address provided during the ordering process. It is the responsibility of the customer to ensure that the email address provided is correct and that emails can be received.

9 Product information, allergens and food supplements

(1) All product information including nutritional values, ingredient lists and allergen declarations is available on the respective product page and on the product packaging.

(2) The customer is obliged to carefully review the product description before purchase and to inform themselves about potential allergens and intolerances.

(3) Food supplements do not replace a balanced and varied diet or a healthy lifestyle. The recommended daily intake must not be exceeded.

(4) Persons taking medication or under medical supervision should consult their doctor before consuming food supplements.

(5) Food supplements must be kept out of the reach of children.

10 Copyright and intellectual property

(1) All content on www.unefoods.de

, including texts, images, graphics, logos and product descriptions, is protected by copyright. The content is owned by UNE Foods Uenlue GbR or licensed from third parties.

(2) Any reproduction, modification, distribution or other use of the content beyond the limits of copyright law requires the prior written consent of Une Foods.

(3) Product images are for illustration purposes only. Minor deviations from the actual product may occur. The relevant product description is decisive.

11 Consumer Information: No Participation in Dispute Resolution Proceedings

Une Foods is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.

12 Vouchers and discount codes

(1) Vouchers and discount codes may be redeemed only during the specified promotion period and only once per customer, unless otherwise stated.

(2) Combination with other promotional discounts is excluded unless expressly permitted.

(3) Cash payment or subsequent crediting of vouchers is not possible.

(4) Vouchers apply exclusively to the assortment available in the online shop at www.unefoods.de

and cannot be used for already discounted items unless expressly provided for.

(5) In the event of returns of products purchased with a voucher, only the amount actually paid will be refunded, not the original product value.

13 Customer account

(1) Customers may create a customer account to simplify the ordering process and to view previous orders.

(2) The customer is obliged to keep login credentials secure and not to share them with third parties.

(3) The customer is responsible for all activities carried out through the customer account, provided that the customer is responsible for any use by third parties.

(4) Une Foods may temporarily or permanently suspend a customer account if the customer violates these terms and conditions or if misuse of the account is detected.

(5) The customer may request the deletion of the customer account at any time by sending an email to info@unefoods.de

. The deletion will be carried out in accordance with statutory requirements, in particular with applicable data protection regulations.

14 Severability clause

If any provision of these terms and conditions is or becomes invalid in whole or in part, the validity of the remaining provisions shall not be affected.
The invalid provision shall be replaced by a valid provision that most closely reflects the meaning and purpose of the original provision in economic terms.
